5.3 Conclusie
Het doel van dit onderzoek is om de effecten van onafhankelijkheid en diversiteit van de RvC op CEO- compensatie te onderzoeken. Hierbij wordt onder diversiteit verstaan het verschil in geslacht en leeftijd tussen de CEO en de RvC leden. Voor CEO-compensatie zijn de totale compensatie en het aandeel prestatie afhankelijke compensatie van de CEO onderzocht. Om deze relaties te onderzoeken is gebruik gemaakt van meerdere verschillende regressies (ordinary least squares, random effects en fixed effects) die zijn uitgevoerd op panel data van AEX, AMX en AscX genoteerde bedrijven in Nederland. Dit
onderzoek is gebaseerd op de volgende onderzoeksvraag:
Wat is het effect van onafhankelijkheid en diversiteit van de RvC op de structuur en hoogte van CEO- beloning?

De resultaten tonen aan dat er geen significante relaties zijn tussen onafhankelijkheid binnen de RvC en CEO-compensatie. Dit houdt in dat of de onafhankelijke commissarissen niet effectiever toezicht houden dan de afhankelijke commissarissen of dat de stewardship theorie van toepassing is. Er zijn ook geen significante relaties gevonden tussen het verschil in leeftijd van de RvC leden en de CEO en CEO- compensatie. Deze bevindingen zijn in lijn met voorgaand onderzoek die het verschil in leeftijd van de RvC en de CEO net als in dit onderzoek als aparte variabele hebben opgenomen in de regressieanalyse. Voor de relatie tussen verschil in geslacht en de hoogte van CEO-compensatie is er een significante relatie gevonden die de hypothese waarin wordt verondersteld dat een groter verschil in geslacht tussen de RvC en de CEO tot een lagere compensatie leidt, ontkracht. Dit significante resultaat is echter niet robuust. Mogelijke oorzaak hiervoor kan zijn dat het aandeel vrouwen in de steekproef niet groot genoeg is om conclusies hieruit te trekken. Voor de relatie tussen het verschil in geslacht van de RvC leden en de CEO en de mate van prestatie afhankelijke CEO-compensatie is geen significant verband ontdekt.
Hieruit kan geconcludeerd worden dat de onafhankelijkheid en samenstelling in leeftijd en geslacht ten opzichte van de CEO geen effecten hebben op CEO-compensatie. De richtlijnen omtrent
onafhankelijkheid en diversiteit in de Nederlandse corporate governance code (CGMC, 2008) zijn dus van minimale belang voor de bepaling van de CEO-compensatie.
De controller van vandaag dient kennis te hebben van het motiveren van medewerkers doormiddel van compensatiecontracten. Hierbij is het van belang te weten welke factoren de totstandkoming van compensatie beïnvloeden. Dit onderzoek richt zich op de samenstelling van de RvC en de invloed daarvan op CEO-compensatie. Het belang van de RvC samenstelling blijkt uit de Nederlandse corporate governance code die diverse voorschriften en aanbevelingen hierin hanteert. Uitkomsten van dit onderzoek dragen bij aan de oordeelsvorming over de relevantie van deze richtlijnen en aanbevelingen in de Nederlandse corporate governance code. Deze scriptie voegt waarde toe aan bestaand onderzoek door Nederlandse bedrijven te analyseren waar het two-tier bestuur overheerst en de definitie van onafhankelijkheid te hanteren zoals deze in de Nederlandse corporate governance code is opgenomen. Daarnaast voegt dit onderzoek waarde toe door de samenstelling van de RvC vanuit een ander
perspectief te benaderen. Dit onderzoek kijkt namelijk naar de overeenkomsten in leeftijd en geslacht tussen de CEO en de RvC (relatief) in plaats van absolute leeftijden en geslacht binnen de RvC.
