PROPOSITIONS as part of the dissertation

‘Nose In, Fingers Out: Essays on Board-Governance Effectiveness’ by Irene Mostert

1. The simple yet often overlooked fact in corporate governance research to date is that directors are socially situated when challenging top management (This dissertation) 2. To truly understand what constitutes good corporate governance – knowledge that

would greatly benefit governance scholars, practitioners and society at large –, researchers need to pay more attention to actual management-board interactions and behavioral dynamics within the confines of the boardroom (This dissertation) 3. Directors are, first and foremost, people and therefore subject to the same biases and

behaviors as all of us are (This dissertation).

4. Directors who truly want to build an effective board need to look far beyond any externally imposed rules and procedures. The starting point is taking an honest look at how – and how well – they work with one another (Carter & Lorsch, 2004: 164). 5. “Nearly all men can stand adversity, but if you want to test a man’s character, give

him power” (Abraham Lincoln).

6. “If we knew what it was we were doing, it would not be called research, would it?” (Albert Einstein)

7. “If you have everything under control, you are not moving fast enough” (Mario Andretti)

8. “The greatest glory in living lies not in never falling, but in rising every time we fall” (Nelson Mandela)

9. “A bus station is where a bus stops. A train station is where a train stops. On my desk, I have a work station” (William Faulkner)

10. Als ik had gewild dat je dit proefschrift had begrepen, had ik het wel beter uitgelegd (Vrije interpretatie van Johan Cruijff)

If I wanted you to understand this dissertation, I would have explained it better (Based on Johan Cruijff)
