- 'The report states that according to the WGB,sal-ary comparisons can only be made with other em-ployees employed by the same employer and per-forming the same work or work of equal value. The Committee recalls that it has held under Article 4 pa-ra.3 of the Charter that where salary comparisons are only possible within the same enterprise, the princi-ple of equal pay is applied "in a restrictive sense" (Conclusions XII-1, p. 102).Itconsiders that the pos-sibility to look outside the enterprise for an appropri-ate comparison is of fundamental importance for a system of objective job evaluation to be efficient in certain circumstances, in particular in enterprises where the workforce is largely, or even exclusively, female. (... )
It recalls that Article 1 of the Protocol requires an adequate protection against retaliatory measures for a worker who has taken action against an employer on grounds of sex discrimination, whether the action relates to an equal pay claim or to another claim of such discrimination. The protection must cover all sectors in the labour market.
On the same subject, the Committee notes that a court declaring a dismissal null and void can order that the worker be reinstated. However, the judge may also declare that the obligation of reinstatement can be waived on payment of a settlement. Such a set-tement may be fixed at a later date if one of the par-ties so requests. The amount of the settlement is fixed by the judge, taking into account the circumstances of the case. The Committee recalls that according to the case law established under Article 4 para. 3 of the Charter, compensation instead of reinstatement should be an exception and must be sufficient to deter the employer and to compensate the worker (Conclu-sions XIII-2, pp. 261-262). This is also a requirement under this provision.'(Concl. XlII-5, 265-266)
- 'The Committee observes (... )that inDutchsocial security legislation no differences exist between men and women in social security matters or as regards unemployment, old age and survivors' benefit. (... ) Research by the Labour Inspectorate in the Nether-lands reveals that, on average, women still earn ap-proximately 24% less than men. In all age groups, the average remuneration of women in nearly all eco-nomic sectors is lower than that of men. A significant
proportion of the difference in pay observed can be explained by differences injob level (40%), part-time

be-grijpelijke wijze te worden gemformeerd over
de economische en financiele toestand van de
onderneming waarbij zij in dienst zijn, met
dien verstande dat de openbaarmaking van
bepaalde informatie, waardoor de
onderne-ming zou kunnen worden benadeeld, kan
wor-den geweigerd of dat er kan worwor-den geeist dat
deze informatie vertrouwelijk wordt

b. tijdig te worden geraadpleegd over
voor-gestelde beslissingen die de belangen van de
werknemers aanzienlijk zouden kunnen

- 2. De Partijen kunnen van de
werkings-sfeer van het eerste lid van dit artikel die
on-dernemingen uitsluiten waar minder dan een

measures enabling workers or their

- 'The conjunction "or" used in the expression "workers or their representatives" is not exclusive. It simply means that the rights afforded by these two provisions may be exercised by workers, or by their representatives, or by both, and the fact that they are conferred upon one group does not mean that they cannot be conferred upon the other, as stipulated in the articles themselves.
The expression "in accordance with national legis-lation and practice" in the introductory sentence of each of these two articles covers:
i. the adoption or encouragement of the 'mea-sures' envisaged to ensure the exercise of the rights mentioned in the two articles:
ii. the designation of such workers' representa-tives as may be associated with the exercise of those rights.
A definition of "workers' representatives" is given in the appendix. It is drawn from Article 3 of the In-ternational Labour Organisation OLO) Convention Nr. 135 concerning protection and facilities to be af-forded to workers' representatives in the undertak-ing, so as to harmonise the definitions contained in the various international instruments.
With regard to point (... )"i"above, the Parties may naturally proceed by means of legislation or regula-tions but may also leave workers' representatives and employers to arrange the implementation of the pro-vision by means of collective agreements, other agreements or any other form of voluntary negotia-tion. Implementation must, however, be effective and adequate.
In particular the Parties may leave management
and labour to decide the level at which workers or their representatives are normally informed and con-sulted and take part (Articles 2 and 3): undertaking, production unit, sector or branch, or even local re-gional or national level, etc.
With regard to point"ii"above, it shall likewise be permissible for Parties, in the above-mentioned con-ditions, to leave workers and their organisations to prescribe procedures and rules for the designation of representatives having access to information, con-sultation and participation in the determining of working conditions in the undertaking and for decid-ing at which level (local, regional, national, undertak-ing, branch, etc.) these rights are to be exercised.

Sub-paragraph a of this paragraph stipulates thaton-ly information about the economic and financial sit-uation of the undertaking must be communicated (subject to the proviso about secrecy and confiden-tiality). Other information, for example about indus-trial property or manufacturing or trade secrets, need not be disclosed. This restriction supplements the general restriction which may be applied to the exer-cise of the rights set forth in this Protocol pursuant to Article 31 of the Charter, to which Article 8 of the Pro-tocol refers. It goes without saying that under this provision the possibility of refusing to disclose cer-tain information or of requiring confidentiality may naturally be included not only in legislation or regu-lations but also in collective agreements or other agreements between employers and workers' repre-sentatives. The expression "and in a comprehensible way" in sub-paragraph a has been inserted following a proposal by the Assembly in Opinion Nr. 131, which considered it useful to describe more precisely the kind of information to be disclosed. In order to be ef-fective, "consultation" in the relevant fields should be preceded by the furnishing of appropriate "informa-tion": the scope of consultation is thus coterminous with that of the information provision, the only re-strictions being those provided in sub-paragraphb,

- 'The expression "certain" number of workers to be determined by national legislation or practice" in Article 2, paragraph 2, and Article 3, paragraph 2, im-plies that the number in question may by determined in legislation or regulations, result from agreements between the Parties or be the result of long-standing custom, etc., although these methods are not neces-sarily mutually exclusive (Explanatory Report, nr.36)
This paragraph makes it possible for the Parties to apply the provisions on information and consultation of workers only to undertakings employing more
than a certain number of workers. This option was in-cluded because it appeared that for reasons of effi-ciency and having regard also to the special circum-stances associated with the size of certain undertak-ings, the establishment of specific information and consultation structures was, in many countries, envi-saged or required only when the number of employ-ees exceeded a certain minimum. The establishment of such structures is generally not obligatory in un-dertakings employing fewer workers than the num-ber stipulated in legislation, regulations or agree-ments in force between the Parties. Moreover, in small undertakings, information and consultation processes often exist in fact and operate readily, mak-ing the introduction of rigid and sometimes complex procedures unnecessary. The Parties have according-ly been given the option of providing for the creation of information and consultation structures or sys-tems only when the number of employees exceeds a certain level. Ifthis option is exercised, the threshold (or thresholds) will need to be indicated in the reports to be submitted under Article 6. In the case of under-takings with fewer employees than the thresholds(s), the Parties will not, on the other hand, be required to explain information and consultation procedures but may communicate such information thereon as is in their possession. It should further be noted that only the criterion of the undertaking's size (number of em-ployees) is mentioned in this article, as other criteria relating to the undertaking's nature or activities may be covered by the appendix to the Protocol (Articles2

Verbintenissen

Territoriale toepassing

- 4. Elke Partij kan daarna te allen tijde in
een aan de Secretaris-Generaal van de Raad
van Europa gerichte kennisgeving verklaren
Mat zij, ten aanzien van
een
of meer gebieden
waarop dit Protocol krachtens het tweede lid
van dit artikel van toepassing is, ieder artikel
als bindend aanvaardt, dat zij nog niet ten
zien van dat gebied of die gebieden had

Territorial application
Art. 9. - 1. This Protocol shall apply to the
metropolitan territory of each Party. Any State
may, at the time of signature or when
depos-iting its instrument of ratification, acceptance
or approval, specify by declaration addressed
to the Secretary General of the Council of
Eu-rope, the territory which shall be considered to
be its metropolitan territory for this purpose.

Gener-al of the Council of Europe that the Protocol
shall extend in whole or in part to a
non-met-ropolitan territory or territories specified in
the said declaration for whose international
relations it is responsible or for which it
as-sumes international responsibility.
It
shall
specify in the declaration the article or articles
of Part II of this Protocol which it accepts as
binding in respect of the territories named in
the declaration.
- 3. This Protocol shall enter into force in
respect of the territory or territories named in
the aforesaid declaration as from the thirtieth
day after the date on which the Secretary
Gen-eral shall have notification of such declaration.
- 4. Any Party may declare at a later date by
notification addressed to the Secretary
Gener-al of the Council of Europe, that, in respect of
one or more of the territories to which this
Pro-tocol has been extended in accordance with
paragraph 2 of this Article, it accepts as binding
any articles which it has not already accepted
in respect of that territory or territories. Such
undertakings subsequently given shall be
deemed to be an integral part of the original
declaration in respect of the territory
con-cerned, and shall have the same effect as from
the thirtieth day after the date on which the
Secretary General shall have notification of
such declaration.

Art. 10. - 1. Dit Protocol staat open voor

Signature, ratification, acceptance, approval
and entryintoforce
Art.
10. - 1. This Protocol shall be open for
~ignatureby member States of the Council of
~uropewho are signatories to the Charter. It is
subject to ratification, acceptance or approval.
Nomember State of the Council of Europe shall
ratify, accept or approve this Protocol except at
the same time as or after ratification of the
Charter. Instruments of ratification,
accept-ance or approval shall be deposited with the
Secretary General of the Council of Europe.
- 2. This Protocol shall enter into force on
the thirtieth day after the date of deposit of the
third instrument of ratification, acceptance or
approval.
- 3. In respect of any signatory State
ratify-ing subsequently, this Protocol shall come into
force as from the thirtieth day after the date of
deposit of its instrument of ratification,
ac-ceptance or approval.

Art. 11. - 1. Een Partij kan dit Protocol
slechts opzeggen aan het einde van een
perio-de van vijfjaar na perio-de datum waarop het
Proto-col voor haar in werking is getreden, of aan het
einde van elke volgende peri ode van twee jaar
en in elk van deze gevallen dient de opzegging
met inachtneming van een termijn van zes
maanden ter kennis te worden gebrachtvan de
Secretaris-Generaal van de Raad van Europa.
Deze opzegging tast de geldigheid van het
Pro-tocol niet aan ten opzichte van de andere
Par-tijen, mits hun aantal nooit minder dan drie
bedraagt.
- 2. Iedere Partij kan overeenkomstig het
bepaalde in het vorige lid ieder door haar
aan-vaard artikel van Deel IIvan dit Protocol
opzeg-gen, mits het aantal artikelen waaraan deze
Partij gebonden is, nooit minder dan
een
be-draagt.
- 3. Iedere Partij kan dit Protocol of ieder
artikel van Deel II van het Protocol
overeen-komstig de bepalingen van het eerste lid van
dit artikel opzeggen ten aanzien van
elkgrond-gebied waarop dit Protocol van toepassing is
krachtens een overeenkomstig het tweede en
vierde lid van artikel 9 afgelegde verklaring.
- 4. Iedere door het Handvest en dit
Proto-col gebonden Partij die het Handvest opzegt
overeenkomstig de bepalingen van het eerste
lid van artikel 37 daarvan, wordt geacht ook
het Protocol te hebben opgezegd.
Denundation
Art. 11. - 1. Any Party may denounce this
Protocol only at the end of a period offive years
from the date on which the Protocol entered
into force for it, or at the end of any successive
period of two years, and, in each case, after
giv-ing six months' notice to the Secretary General
of the Council of Europe. Such denunciation
shall not affect the validity of the Protocol in
respect of the other Parties provided that at all
times there are not less than three such Parties.
- 2. Any Party may, in accordance with the
provisions set out in the preceding paragraph,
denounce any article of Part II of this Protocol
accepted by it, provided that the number of
ar-ticles by which this Party is bound shall never
be less than one.
- 3. Any Party may denounce this Protocol
or any of the articles of Part II of the Protocol,
under the conditions specified in paragraph 1
of this Article, in respect of any territory to
which the Protocol is applicable by virtue of a
declaration made in accordance with
para-graphs 2 and 4 of Article 9.
- 4. Any Party bound by the Charter and
this Protocol, which denounces the Charter in
accordance with the provisions of paragraph 1
ofArticle 37 thereof, will be considered to have
denounced the Protocol likewise.

Werkingssfeer van het Protocol met betrekking tot
de te beschermen personen
1. Onder de in de artikelen 1 tot en met 4 van dit Protocol bedoelde personen vallen slechts buitenlan-ders voorzover zij onderdaan zijn van andere Partijen
en legaal verblijven of werken op het grondgebied van de betrokken Partij, met dien verstande dat bo-vengenoemde artikelen dienen te worden uitgelegd in het licht van de bepalingen van de artikelen 18 en 19 van het Handvest.
Deze uitlegging sluit een uitbreiding van overeen-komstige rechten tot andere personen door een der Partijen niet uit.
2. Elke Partij doet vluchtelingen als gedefinieerd in het Verdrag vanCenevevan 28 juli 1951 betreffende de status van vluchtelingen en het Protocol van 31 ja-nuari 1967, die legaal op haar grondgebied verblij-Yen,een zo gunstig mogelijke behandeling toekomen en in elk geval een niet minder gunstige dan waartoe zij zich heeft verbonden krachtens genoemd Verdrag en Protocol, alsmede krachtens aIle andere bestaande internationale overeenkomsten toepasselijk ten aan-zien van deze vluchtelingen.

2. Onder 'nationale wetgeving en praktijk' wordt, naar gelang van het geval, verstaan, behalve de wet-en regelgeving, de collectieve overewet-enkomstwet-en, an-dere overeenkomsten tussen de werkgevers en de vertegenwoordigers van de werknemers, de gebrui-ken en relevante gerechtelijke beslissingen.

4. Het is wei verstaan dat religieuze gerneenschap-pen en hun instellingen kunnen worden uitgesloten van de toepassing van deze artikelen ook wanneer deze instellingen ondernemingen zijn in de zin van het derde lid. Instellingen die werkzaamheden ver-richten geinspireerd door bepaalde idealen of geleid door bepaalde morele opvattingen, idealen en opvat-tingen die worden beschermd door de nationale wet-geving, kunnen worden uitgesloten van de toepas-sing van deze artikelen voor zover zulks noodzakelijk is om de gerichtheid van de onderneming te bescher-men.
5. Het is wei verstaan dat wanneer in een Staat de rechten bedoeld in de artikelen 2 en 3 worden uitge-oefend in de verschillende vestigingen van de onder-neming, de betrokken Partij moet worden geacht te voldoen aan de uit deze bepalingen voortvloeiende verplichtingen.

1. For the purpose of the application of these arti-cles, the term 'workers' representatives' means per-sons who are recognised as such under national legis-lation or practice.
2. The term 'national legislation and practice' em-braces as the case may be, in addition to laws and reg-ulations, collective agreements, other agreements between employers and workers' representatives, customs, as well as relevant case law.
3. For the purpose of the application of these arti-cles, the term 'undertaking' is understood as referring to a set of tangible and intangible components, with or without legal personality, formed to produce goods or provide services for financial gain and with power to determine its own market policy.
4. It is understood that religious communities and their institutions may be excluded from the applica-tion ofthese articles, even ifthese instituapplica-tions are 'un-dertakings' with the meaning of paragraph 3. Estab-lishments pursuing activities which are inspired by certain ideals or guided by certain moral concepts, ideals and concepts which are protected by national legislation, may be excluded from the application of these articles to such an extent as is necessary to pro-tect the orientation of the undertaking.
5. It is understood that where in a State the rights
. set out in Articles 2 and 3 are exercised in the various establishments of the undertaking, the Party con-cerned is to be considered as fulfilling the obligations deriving from these provisions.

- 'Under the heading "Articles 2 and 3", paragraph 4 of the appendix has been inserted, inter alia, to meet the situation in the Federal Republic of Germany where certain categories of undertakings with an "orientation" (Tendenzbetriebe) are excluded from the scope of the 1972 Act on the Organisation of Un-dertakings or from certain of its provisions. These are "companies and establishments that directly and predominantly:
1. pursue political, coalition, religious, charitable, educational, scientific or artistic objects; or
2. serve purposes of publishing or expressing opinions covered by the second sentence of section 5
(1)of the Basic Law (Constitution).'
Under the heading 'Articles 2 and 3', paragraph 5 of the appendix refers to 'establishments of the under-taking'. In fact an undertaking may consist of one or more production units economically and legally bound to a single management centre. Such produc-tion units then constitute as many component estab-lishments of the undertaking, and it is understood that where within a state rights Nrs. 2 and 3 are ef-fectively exercised within the various establishments of the undertaking in question, the Party concerned shall be deemed to fulfil its obligations under these provisions:(Explanatory Report, nr.68-69)
