On 8 November 2018, Commerzbank AG ("Commerzbank") had entered into an agreement with Société Générale S.A. ("Société Générale") to sell its Equity Markets & Commodities business, which includes inter alia the issuance and trading of investment and leverage products, to Société Générale and affiliated entities.
We hereby notify all holders of the relevant securities (as identified by the ISIN codes listed in the column (ISIN) in the attachment hereto; the "Transferred Securities") that as of 30 March 2020 (the "Effective Date") Société Générale Effekten GmbH, Frankfurt am Main, ("SGE") assumes all obligations of Commerzbank as issuer of each Transferred Securities listed below. As of the Effective Date, all rights and obligations of Commerzbank under and in relation to the Transferred Securities have been transferred to SGE (the "Issuer Substitution").
Société Générale has taken on the calculation agent functions under such securities, which until the Effective Date were exercised by Commerzbank.
Société Générale has taken on the paying agent functions under such securities, which until the Effective Date were exercised by BNP Paribas Securities Services, Paris as paying agent and BNP Paribas S.A., Amsterdam Branch as sub paying agent for the paying agent.
With respect to any Commerzbank proprietary index underlying the securities subject to an Issuer Substitution (the "Proprietary Indices") hereunder, each such Proprietary Index will be substituted by a new equivalent (as regards to its concept, description and methodology) proprietary index with Société Générale acting as Index Sponsor and Index Calculation Agent. Until the Effective Date (as defined above) Commerzbank will continue to act as Index Sponsor and Index Calculation Agent.
Rule, guidance or order proposed or issued under the CEA (for the avoidance of doubt, any person who is not a “Non-United States person” defined under CFTC Rule 4.7(a)(1)(iv), but excluding, for purposes of subsection (D) thereof, the exception for qualified eligible persons who are not “Non-United States persons,” shall be considered a U.S. person) and (c) is not a "U.S.
person" for purposes of the final rules implementing the credit risk retention requirements of Section 15G of the U.S. Securities Exchange Act of 1934, as amended (such a person or account, Permitted Transferee). Any transfer to a person that is not a Permitted Transferee will be void ab initio and of no legal effect whatsoever.
Société Générale has issued an unconditional and irrevocable parent guarantee for the benefit of the relevant holders of Transferred Securities relating to the performance of all of SGE's payment obligations (including any delivery obligations) arising under the relevant Transferred Securities (the "Parent Guarantee"). Commerzbank AG has issued an unconditional and irrevocable guarantee for the benefit of the relevant holders of Transferred Securities relating to the performance of all of SGE's payment obligations (including any delivery obligations) arising under the Transferred Securities, if and to the extent SGE and Société Générale fail to comply with their obligations under the relevant terms and conditions of the Transferred Securities and the Parent Guarantee, respectively ("Transfer Guarantee"). Op 8 november 2018 is door Commerzbank AG ("Commerzbank") een overeenkomst gesloten met Société Générale S.A. ("Société Générale") om zijn Aandelenmarkten & Grondstoffenhandel (‘Equity Markets and Commodities’) activiteiten te verkopen, die onder andere de uitgifte en handel in investerings- en hefboomproducten (‘leverage products’) bevat, aan Société Générale en verbonden entiteiten.
Hierbij stellen wij alle houders van de betrokken effecten (zoals geïdentificeerd door de ISIN codes in de kolom (ISIN) van de bijlage van dit document; de "Overgedragen Effecten") ervan in kennis dat vanaf 30 maart 2020 (de "Datum van Inwerkingtreding") Société Générale Effekten GmbH, Frankfurt am Main, ("SGE") alle verbintenissen overneemt van Commerzbank als Emittent van elk van de hieronder vermelde Overgedragen Effecten. Vanaf de Datum van Inwerkingtreding zullen alle rechten en verbintenissen van Commerzbank onder en met betrekking tot de Overgedragen Effecten zijn overgedragen aan SGE (de "Vervanging van de Emittent").
Société Générale heeft de taken van berekeningsagent (‘calculation agent’) op zich genomen onder deze effecten, die tot de Datum van Inwerkingtreding werden uitgeoefend door Commerzbank.
Société Générale heeft de taken van betaalagent op zich genomen voor deze effecten, die tot de Datum van Inwerkingtreding werden uitgeoefend door BNP Paribas Securities Services, Parijs als betaalagent en BNP Paribas S.A., Amsterdam Bijkantoor als sub-betaalagent voor de betaalagent.
Met betrekking tot elke eigendomsindex van Commerzbank onderliggend aan de effecten die onderworpen zijn aan een Vervanging van de Emittent (de "Eigendomsindexen") hieronder, zal elk van deze Eigendomsindexen worden vervangen door een nieuwe, equivalente (wat betreft het
overgedragen, behalve in een "offshore transactie" (zoals gedefinieerd onder Regulation S van de United States Securities Act van 1933, zoals gewijzigd) aan of voor rekening of ten gunste van een persoon die (a) geen Amerikaanse (U.S.) persoon is zoals gedefinieerd in Rule 902(k)(1) van Regulation S; en (b) geen persoon is die onder enige definitie van Amerikaanse (U.S.) persoon komt in de zin van de United States Commodities Exchange Act van 1936, zoals gewijzigd (de CEA) of enige Commodities Futures Trading Commission (de CFTC) Regel, richtsnoer of bevel dat in het kader van de CEA wordt voorgesteld of uitgevaardigd (om twijfel te voorkomen, elke persoon die geen "Niet-Amerikaanse persoon” is zoals gedefinieerd in CFTC-regel 4).7(a)(1)(iv), maar met uitzondering van, voor de toepassing van subsectie (D) daarvan, de uitzondering voor gekwalificeerde in aanmerking komende personen die geen "Niet-Amerikaanse personen" zijn, wordt beschouwd als een Amerikaanse persoon) en (c) geen "Amerikaanse persoon" is voor de toepassing van de definitieve regels voor de uitvoering van de vereisten voor het aanhouden van kredietrisico's van Sectie 15G van de US Securities Exchange Act van 1934, zoals gewijzigd (een dergelijke persoon of rekening, een Toegestane Overnemer). Le 8 novembre 2018, Commerzbank AG (« Commerzbank ») a conclu un accord avec la Société Générale S.A. (« Société Générale ») dans le but de céder son activité Equity Markets &
Commodities, qui comprend notamment l’émission et la négociation de produits d’investissement et à effet de levier, à Société Générale et à des entités affiliées.
Nous notifions par la présente notice tous les porteurs des titres concernés (tels qu’identifiés par les codes ISIN figurant dans la colonne (ISIN) repris en pièce jointe à la présente notice ; les
« Titres Transférés ») qu’à compter du 30 mars 2020 (la « Date d’Entrée en Vigueur »), la Société Générale Effekten GmbH, Frankfurt am Main, (« SGE ») assume toutes les obligations de Commerzbank en tant qu’émetteur de chaque Titre Transféré énuméré ci-dessous. À partir de la Date d’Entrée en Vigueur, tous les droits et obligations de Commerzbank aux termes et à l’égard des Titres Transférés sont transférées à SGE (la « Substitution d’Émetteur »).
La Société Générale assument les fonctions d’agent de calcul au titre de ces Titres, qui étaient exercées par Commerzbank jusqu’à la Date d’Entrée en Vigueur.
La Société Générale a repris les fonctions d’agent payeur au titre de ces titres, qui jusqu’à la Date d’Entrée en Vigueur étaient exercées par BNP Paribas Securities Services, Paris en tant qu’agent payeur et BNP Paribas S.A., Succursale d’Amsterdam en tant que sous-agent payeur de l’agent payeur.
En ce qui concerne tout indice propriétaire de Commerzbank sous-jacent aux titres faisant l’objet d’une Substitution d’Émetteur (les « Indices Propriétaires ») ci-dessous, chacun de ces Indices Propriétaires sera remplacé par un nouvel indice propriétaire équivalent (en ce qui concerne son concept, sa description et sa méthodologie), la Société Générale agissant en qualité de Sponsor d’Indice et d’Agent de Calcul d’Indice. Jusqu’à la Date d’Entrée en Vigueur (telle que définie ci-
